Data Processing Agreement (DPA)

This Agreement is concluded between:

(1) The Customer
Processing Manager

Natural or legal person using the Argonstack platform.

(2) ARGN L.P.
Processor

ARGN L.P., a Greek limited partnership with its registered seat at Vaktrianis 114, 15772 Zografou, Athens, Greece, GEMI No. 184296303000 and Tax ID (ΑΦΜ) 802869201, which operates the Argonstack platform.

Purpose and scope

This Agreement governs the processing of personal data by Argonstack on behalf of the Customer in the context of the provision of the software platform and related services ("Services").

The purpose of the processing is limited exclusively to the operation of the platform and to the actions carried out following the Customer's documented instructions.

Argonstack acts solely as the Processor and does not determine or influence the purposes or legal basis of the processing.

Explicit Assumption of Responsibility by the Customer

The Customer:

  • It bears sole responsibility for the lawfulness of the processing.
  • It defines the legal basis.
  • Ensures that all required consents, updates and permissions have been obtained.

Argonstack does not provide legal advice and is not responsible for assessing the Customer's compliance with data protection legislation.

Definitions

The terms used herein shall have the meaning ascribed to them in Regulation (EU) 2016/679 (GDPR).

Obligations of the Processor

The Argonstack is required to:

  • Processes data only upon documented instructions from the Customer.
  • Ensures the confidentiality of its staff.
  • Implement appropriate technical and organisational security measures.
  • Notify the Customer without undue delay and, where possible, within 72 hours from the discovery of the breach.
  • Assists the Customer in data subject requests.
  • Keeps processing records in accordance with Article 30(2) GDPR.

Limitation of Liability for Content and Data

Argonstack is not responsible for the content, accuracy, legality, or source of the data entered or processed by the Customer through the platform.

The Customer bears full responsibility for any data he/she manages.

Sub-Processors Processing

The Customer provides general authorization to use Sub-Executors necessary for the operation of the platform.

Argonstack ensures that all Sub-Performers:

  • They are bound by processing contracts.
  • Implement adequate security measures.
  • Comply with Standard Contractual Clauses (SCCs) where required.

Security measures

They shall apply, as a minimum:

  • Data encryption.
  • Role-based access control.
  • Multi-factor access control for administrators.
  • Recording and monitoring of incidents.
  • Backup and recovery procedures.

Audits and Inspections

Argonstack shall provide compliance information upon reasonable request.

On-site inspections are only carried out if required by law or competent authority and after prior written agreement, with respect to the operational security of the platform.

Liability

Each Party is solely responsible for breaches caused by its own acts or omissions. The total liability of Argonstack shall not exceed the total fees for the last twelve (12) months.

Duration and Expiry

This Agreement is valid for as long as Argonstack processes data on behalf of the Customer. Upon expiration, the data shall be deleted or returned within 90 days, unless otherwise required by law.

Applicable Law and Jurisdiction

Greek law applies. The Courts of Athens have exclusive jurisdiction.

Superiority of Contract: This Agreement supersedes any other terms and conditions regarding data processing.

Identification, contact details, CRM data, technical data.

Nature of Processing

Collection, storage, automation, communication, analysis, deletion.

Purpose

Exclusively the operation of the Argonstack platform.

Duration

As long as the contractual relationship lasts.
